Coeptis Therapeutics (NASDAQ: CPHD) announced that it has entered into a definitive merger agreement with Z Squared Inc., a rapidly growing and profitable Dogecoin (CRYPTO: DOGE) mining company.

The companies said the merger will create the largest publicly traded company in the United States that is primarily focused on DOGE mining.

The combination of both companies is expected to expand the reach and value proposition of each company's respective stakeholders.

The merger agreement was approved by both companies' boards of directors and is subject to both regulatory and shareholder approval, the filing of a proxy statement with the Securities and Exchange Commission and other closing conditions.

"We are excited to take this step towards our goal of creating the largest publicly-traded company in the United States that is primarily focused on DOGE mining," said Z Squared CEO David Halabu. "We're proud of our strategy to bring retail and institutional audiences alike in the public markets a focused exposure to a DOGE asset that currently has over $20 billion in market capitalization."

Upon the closing of the merger, Z Squared will become a wholly owned subsidiary of Coeptis. Z Squared's operations will continue to be managed by its current management team, and Z Squared will continue to mine Dogecoin and Litecoin at its current facilities.

He added that Coeptis will maintain its biopharmaceutical operations—which focus on innovative cell therapy platforms for cancer, autoimmune, and infectious diseases—via a spinout upon the closing of the planned merger.

"We will continue to explore and evaluate other digital asset opportunities that fit our overall strategy and create value for our shareholders," said a spokesperson for the merged entity.

"Our primary focus today is on optimising and expanding our Dogecoin and Litecoin mining footprint. However, we are actively evaluating broader digital asset strategies if market conditions and strategic fit align."

Earlier this year, Canada’s Neptune Digital Assets purchased $250,000 of the top meme coin, while Spirit Blockchain Capital has adapted Strategy’s Bitcoin-amassing playbook and aims to earn yield on its DOGE.
